Service Agreement

Effective Date: July 18, 2026

This Service Agreement outlines the terms under which The Ecom Solutions provides digital services to its clients.

By approving a quotation, proposal, invoice, email confirmation, or making any payment to The Ecom Solutions, you acknowledge that you have read, understood, and agreed to this Agreement.


1. About The Ecom Solutions

The Ecom Solutions is a digital agency based in Pakistan, serving businesses worldwide. We specialize in:

  • Shopify Development
  • WordPress & WooCommerce Development
  • eBay Store Management
  • Product Hunting
  • Graphic Design & Branding
  • Meta Advertising
  • Social Media Management
  • Website Maintenance
  • Custom Digital Solutions

2. Project Consultation

Before any project begins, we discuss:

  • Project objectives
  • Scope of work
  • Deliverables
  • Timeline
  • Pricing
  • Revisions
  • Required resources
  • Communication method

Work begins only after both parties have reached a mutual understanding of the project requirements.


3. Project Scope

Every project is completed according to the agreed scope.

Any work requested outside the approved scope will be treated as additional work and may require:

  • A revised quotation
  • Additional development time
  • Additional payment

Changes requested after project approval may affect the delivery timeline.


4. Payment Terms

4.1 Advance Payment

To secure a project, 50% of the total agreed project fee must be paid in advance.

The advance payment is required only after the final project discussion and mutual agreement on the project scope, deliverables, timeline, and pricing.

No work will begin until the advance payment has been received.


4.2 Remaining Balance

The remaining 50% must be paid:

  • Before the final website, design, files, or source code are delivered, or
  • According to mutually agreed project milestones for larger projects.

Final deliverables may be withheld until all outstanding payments have been received.


4.3 Additional Work

Any work outside the agreed project scope will be quoted separately.

Development of additional features or services will begin only after approval from the client.


5. Project Timeline

Estimated completion dates are based on:

  • Timely communication
  • Prompt approvals
  • Availability of required content
  • No major scope changes

Project timelines may be extended if:

  • Client feedback is delayed
  • Required materials are not provided
  • Additional features are requested
  • Third-party services cause delays
  • Unexpected technical issues occur

6. Client Responsibilities

The client agrees to:

  • Provide accurate project information.
  • Supply all required content, logos, images, and branding assets.
  • Provide necessary account access.
  • Review submitted work promptly.
  • Respond to questions and approvals in a reasonable timeframe.
  • Make payments according to this Agreement.

Failure to provide required information may delay the project.


7. Communication

Official communication may take place through:

  • Email
  • WhatsApp
  • Zoom or Google Meet
  • Other mutually agreed communication channels

Clients should provide clear and consolidated feedback whenever possible to avoid unnecessary delays.


8. Revisions

Reasonable revisions are included as agreed during the project discussion.

Revisions include adjustments to existing work within the approved scope.

The following are not considered revisions:

  • New features
  • Complete redesigns
  • Major layout changes
  • Additional pages
  • New functionality
  • New integrations requested after approval

Such requests may require additional charges.


9. Client Delays

If a client delays feedback, approvals, or required materials, project timelines will automatically adjust.

The Ecom Solutions is not responsible for delays caused by missing information from the client.


10. Project Suspension

A project may be temporarily suspended if:

  • Required information is unavailable.
  • Payments are overdue.
  • The client becomes unresponsive.

If there is no communication from the client for 30 consecutive days, the project may be considered inactive.

Resuming an inactive project may require a revised timeline and additional charges depending on the remaining work.


11. Ownership of Work

The client retains ownership of all content and materials they provide.

Ownership of the completed project transfers to the client only after:

  • Full payment has been received.
  • Any outstanding invoices have been cleared.

Until full payment is made, all designs, code, graphics, and project files remain the intellectual property of The Ecom Solutions.


12. Portfolio Rights

Unless otherwise agreed in writing, The Ecom Solutions reserves the right to display completed projects in its:

  • Portfolio
  • Website
  • Social media
  • Marketing materials

If confidentiality is required, the client must notify us before the project begins.


13. Confidentiality

We treat all client information with confidentiality.

Business information, login credentials, project documents, and proprietary materials shared with us will only be used for the purpose of completing the agreed services unless disclosure is required by law.


14. Third-Party Services

Projects may depend on third-party providers such as:

  • Shopify
  • WordPress
  • Hosting providers
  • Domain registrars
  • Meta Platforms
  • eBay
  • Payment gateways
  • Premium plugins
  • External APIs

The Ecom Solutions is not responsible for service interruptions, pricing changes, or policy changes made by these providers.


15. Support

After project delivery, support will be provided according to the agreed package or maintenance plan.

Any additional support requested outside the agreed scope may be billed separately.


16. Limitation of Liability

The Ecom Solutions shall not be liable for:

  • Business losses
  • Lost revenue
  • Lost profits
  • Data loss
  • Downtime caused by third-party services
  • Indirect or consequential damages

Our total liability shall not exceed the amount paid by the client for the relevant project.


17. Termination

Either party may terminate the project by providing written notice.

The client remains responsible for payment for all work completed up to the date of termination.

Any completed work delivered before termination remains payable.


18. Governing Law

This Agreement shall be governed by the laws of the Islamic Republic of Pakistan.

Any disputes arising under this Agreement shall be subject to the jurisdiction of the competent courts of Pakistan unless both parties agree otherwise in writing.


19. Changes to This Agreement

The Ecom Solutions reserves the right to update these Terms of Service at any time.

Updated versions become effective immediately upon publication on our website.
